Trading platform Robinhood Markets (HOOD.O) announced on Thursday its agreement to acquire crypto exchange Bitstamp for approximately $200 million in cash. This move accelerates Robinhood’s broader push into digital assets, marking its largest deal to date. Shares of Robinhood saw a 3.4% increase before the bell, reflecting investor optimism about the company’s expanding product offerings and its ambition to become a comprehensive financial services provider.
Strategic Expansion into Digital Assets
The acquisition of Bitstamp, a crypto exchange founded in 2011 with 50 active licenses and registrations globally, positions Robinhood in direct competition with industry heavyweights like Binance and Coinbase (COIN.O). Bitstamp’s core spot exchange, which enjoys popularity in Europe and Asia, offers over 85 tradable assets. This deal is anticipated to significantly bolster the growth of Robinhood Crypto.
“We are in our early days in the EU and we are excited to keep expanding there and beyond. The acquisition of Bitstamp will accelerate our global expansion,” Johann Kerbrat, vice president and general manager of Robinhood Crypto, told Reuters.
The deal, expected to close in the first half of 2025, comes at a time when Robinhood’s crypto business is experiencing rapid growth but also facing regulatory challenges in the United States. Kerbrat emphasized the company’s commitment to maintaining open communication with regulators as it progresses.
Navigating Regulatory Waters
Robinhood’s crypto division was the driving force behind a substantial first-quarter earnings beat in May. However, during the same week, the company disclosed receiving a Wells notice from the US Securities and Exchange Commission (SEC) concerning tokens traded on its platform. A Wells notice indicates that the regulator plans to initiate enforcement action against a company.
The SEC has argued that crypto tokens should be classified as securities and thus subject to its registration rules. Conversely, crypto firms have accused the SEC of regulatory overreach. Despite these challenges, Robinhood’s stock has surged 69% this year, buoyed by its focus on “profitable growth.” Analysts predict further gains as retail trading resurges and crypto adoption increases.
